Welcome to ezRACI, a Software-as-a-Service (SaaS) platform provided by ezRACI, LLC, doing business as ezRACI (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of ezRACI (the “Service”). By accessing or using ezRACI, you agree to be bound by these Terms.

If you do not agree with these Terms, do not use ezRACI.

1. Overview of the Service

• ezRACI is a free-to-use SaaS product that helps Project Managers create RACI matrices and Gantt charts.

• The Service integrates with leading Agile planning tools such as JIRA, Azure DevOps, and Trello, as well as Application Lifecycle Management (ALM) platforms like SAP Cloud ALM.

• As of 2025, ezRACI is offered free of charge. In 2026, we intend to introduce two subscription tiers for higher volume and enterprise-level customers.

2. Eligibility & User Responsibilities

• You must be at least 18 years old to use the Service.

• You are responsible for maintaining the security of your account credentials.

• You must not use ezRACI for any illegal, unauthorized, or unethical activities.

3. Free-to-Use Service (2025)

• ezRACI is free to use in 2025 as part of its Minimal Viable Product (MVP) launch.

• There is no guarantee that the Service will always remain free.

• Starting in 2026, ezRACI may introduce two subscription tiers for high-volume and enterprise users.

4. Service Availability & Modifications

• We reserve the right to modify, suspend, or discontinue the Service at any time without prior notice.

• We do not guarantee uninterrupted availability of the Service.

5. Third-Party Integrations

• ezRACI integrates with third-party services like JIRA, Azure DevOps, Trello, and SAP Cloud ALM.

• Your use of third-party integrations is subject to their respective terms of service.

6. Intellectual Property Rights

• All intellectual property associated with ezRACI, including software, branding, and content, is owned by ezRACI, LLC.

• You may not modify, distribute, or reverse-engineer any part of the Service without prior written consent.

Notice of Claims of Intellectual Property Violations

If you believe that any content on ezRACI infringes upon your intellectual property rights, please submit a written notice to matt@ezraci.com with:

1. A description of the alleged infringement.

2. Your contact details.

3. Evidence of ownership or authorization to act on behalf of the owner.

4. A statement confirming the accuracy of your claim.

7. Disclaimer of Warranties

• ezRACI is provided on an "as-is" and "as-available" basis.

• We do not warrant that the Service will be error-free, uninterrupted, or suitable for any specific purpose.

• We are not responsible for any third-party integrations or their reliability.

8. Limitation of Damages

• To the fullest extent permitted by law, ezRACI, LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from:

  • Use or inability to use the Service.

  • Errors, bugs, security breaches, or service interruptions.

  • Loss of data or unauthorized access.

• Our total liability under these Terms shall not exceed $100 USD.

9. Indemnification

You agree to indemnify and hold ezRACI, LLC harmless from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Service.

10. Governing Law & Dispute Resolution

• These Terms are governed by and construed in accordance with the laws of the State of Florida, USA.

• Any disputes shall be resolved through binding arbitration in the State of Florida, unless otherwise required by law.

11. Termination

• We reserve the right to suspend or terminate your access to ezRACI at any time if you violate these Terms.

• You may discontinue using the Service at any time.

12. Notices & Legal Correspondence

• All notices regarding these Terms should be sent to matt@ezraci.com.

• This includes legal claims, dispute resolutions, and intellectual property matters.

13. Changes to These Terms

• We may update these Terms from time to time. We will notify users by posting the updated Terms on our website.

• Your continued use of the Service after changes constitute your acceptance of the updated Terms.
